Exclusive heating-season list license

Draft for lawyer review. This is not legal advice and is not a finished contract. Andrew Heaney should have a lawyer review it before anyone signs or pays.

Licensor: Basement Intel LLC
Licensee: the dealer named on the order (the shop)
Signed for the LLC by: Andrew Heaney

1. What this is

Basement Intel LLC licenses one named list, for one named territory, for 12 months from the purchase date. The shop gets the exclusive right to use that list during the term. This is a license, not a sale of the data.

The list type on the order is one of: Likely Propane, Heating Oil/Conversion, or HVAC. The shop picks one type. One order does not cover the other types.

2. Term

The license runs 12 months from the day the shop pays. After that day the exclusive right ends. The shop must stop new use of the file. Copies already in the shop’s own CRM from work done during the term can stay there for that shop’s own follow-up. They cannot be used as a rented list, resold, or handed to another shop.

3. Exclusive means one shop

For the named season, territory, and list type, Basement Intel LLC will not license that same list to another heating-oil, propane, or HVAC shop.

Exclusive is one shop, one territory, one list type. A statewide hold and a county hold of the same list type in that state cannot both be open. The first paid order wins.

4. Territories

Lists are licensed only for territories posted on the catalog. Likely Propane, Heating Oil/Conversion, and HVAC may all be licensed in Connecticut, Massachusetts, Rhode Island, and New Hampshire where a SKU is posted.

5. What the shop may do

During the term, the shop may use the list for its own outbound sales, service, and conversion work in the named territory. The shop may load the file into its own CRM and share it with its own employees and contractors who need it to do that work.

If Basement Intel LLC refreshes the file from newer assessor CAMA during the season, the shop gets that refresh at no extra charge.

6. What the shop may not do

The shop is responsible for how its people handle the file.

7. What the list is — and is not

The list is a compile from public assessor / CAMA records and related public sources. Fuel type, “likely propane,” conversion fit, and similar flags are inferences from those records. They are not a warranty that a given address uses that fuel, will convert, or will buy.

Basement Intel LLC does not sell consumer credit data, and this is not a credit report. The shop must follow ordinary telemarketing, privacy, and do-not-call rules on its own outreach.

8. Sample before payment

Before the shop pays, Basement Intel LLC will send a 25-row sample of the named list and territory. The sample is enough to check columns, geography, and quality. It is not a license to work the rest of the file.

9. Payment and refunds

Payment is by card. The exclusive hold starts when the card clears.

After the shop downloads the full file, there is no refund except for a material error in the file — for example, the wrong territory, the wrong list type, a broken or unreadable file, or a count so far off the catalog that the file is not what was ordered.

A material-error claim has to be raised promptly, with enough detail to check it. If the claim is valid, Basement Intel LLC will either replace the file or refund the card charge. Taste, conversion rate, and “we didn’t sell from it” are not material errors.
